1. Acceptance of Terms

By accessing or using MediNITS (app.medinits.com), you agree to be bound by these Terms and Conditions and our Privacy Policy. If you do not agree, do not use the platform. These terms apply to all users including registered clinics, healthcare providers, and visitors.

2. Platform Description

MediNITS provides an AI-powered clinic management platform including but not limited to: AI consultation assistance, electronic medical records (EMR), billing and invoicing, patient appointment booking, WhatsApp communication tools, and analytics. The platform is provided "as is" and is subject to change without notice.

3. Account Registration

• You must provide accurate, current, and complete information when registering
• You are responsible for maintaining the confidentiality of your account credentials
• You must be a licensed healthcare professional or an authorised staff member of a registered healthcare facility
• One account per clinic/practitioner. Corporate or multi-location access requires a Growth plan.
• You must be at least 18 years old to create an account
• We reserve the right to suspend or terminate accounts that violate these terms

4. AI Consultation Disclaimer

MediNITS AI generates clinical notes, diagnoses, and prescriptions as decision-support tools to assist qualified healthcare professionals. By using the AI consultation feature, you acknowledge and agree that:

• AI-generated content is not a substitute for professional medical judgment
• You, as the licensed practitioner, are solely responsible for all clinical decisions
• AI suggestions must be reviewed and approved by you before being shared with patients
• Drug-allergy alerts are informational — verify against current clinical databases
• MediNITS makes no warranty regarding the accuracy or completeness of AI-generated clinical content
• AI consultation data may be used in anonymized form to improve AI model accuracy

5. Subscription and Billing

5.1 Plans

MediNITS offers Free, Starter (₹799/mo), Professional (₹1,499/mo), and Growth (₹2,999/mo) plans, plus equivalent pricing in other currencies. Prices are exclusive of applicable taxes (GST 18% for Indian users).

5.2 Free Plan

The Free plan is provided at no charge and may be modified or discontinued with 30 days notice. We will notify you by email before any material change to Free plan features.

5.3 Paid Plans

• Paid plans are billed monthly or annually in advance via Stripe
• 14-day free trial for all paid plans — no charge until trial ends
• Annual plans are billed upfront and are non-refundable except within the first 14 days
• Monthly plans can be cancelled anytime; cancellation takes effect at end of billing period
• We reserve the right to change pricing with 30 days notice

5.4 Refunds

Refunds are available within 14 days of initial purchase for paid plans. After 14 days, no refunds are issued except where required by applicable law. Contact [email protected] for refund requests.

6. Data Ownership and Privacy

You retain full ownership of your clinic's data and patient records. By using MediNITS, you grant us a limited, non-exclusive licence to process this data for the purpose of providing the platform services. We do not sell, rent, or share your data. 7. Acceptable Use

You agree NOT to use MediNITS to:

• Provide medical advice outside the scope of your licence and jurisdiction
• Process patient data without obtaining required consent under DPDP 2023 or equivalent applicable law
• Attempt to access, modify, or interfere with another user's data
• Reverse-engineer, decompile, or copy the MediNITS platform or its AI models
• Use automated scripts to scrape or access the platform beyond normal use
• Upload malicious content or attempt to compromise platform security
• Violate any applicable laws including medical practice regulations in your jurisdiction

8. Intellectual Property

All platform code, AI models, design, trademarks, and content are the intellectual property of Marketers Data Solution Pvt. Ltd. and are protected by Indian and international copyright law. You may not use our trademarks without prior written permission.

Patient records, clinical notes, and data you create on MediNITS remain your intellectual property.

9. Service Availability and Uptime

We aim for 99.9% uptime on paid plans (Growth plan SLA). We are not liable for downtime caused by third-party services (Supabase, Cloudflare, Groq, Stripe), force majeure events, or scheduled maintenance (notified 24 hours in advance). Free plan has no uptime commitment.

10. Limitation of Liability

To the maximum extent permitted by law, MediNITS and Marketers Data Solution Pvt. Ltd. shall not be liable for: indirect, incidental, or consequential damages; loss of data (though we maintain backups); medical outcomes arising from AI-generated content; or any damages exceeding the amount paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify MediNITS against any claims, damages, or legal fees arising from: your violation of these Terms; your use of AI-generated clinical content without appropriate professional review; or your breach of applicable medical practice laws or patient data regulations.

12. Modifications to Terms

We may modify these Terms at any time. Material changes will be notified via email 14 days before taking effect. Continued use after the effective date constitutes acceptance of the new Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Disputes shall first be attempted to be resolved amicably. Failing that, disputes shall be subject to the exclusive jurisdiction of courts in Uttarakhand, India.
